Terms of Use
These Terms of Use govern your use of the Cai Comments app and this website (caicomments.com), where you create an account, obtain a licence, and download the app.
Using the Cai Comments app
1. Acceptance of Terms
By installing or using Cai Comments ("the App"), you agree to these Terms of Use. If you do not agree, please do not use the App.
2. Licence to Use
Cai Comments grants you a personal, non-exclusive, non-transferable licence to use the App and its bundled on-device AI model for the purpose of recording student notes and generating report comments. You may not resell, redistribute, or reverse-engineer the App.
3. Offline, Local-First Operation
Your teaching work runs entirely on your device: your classes, students, notes and generated comments are created, stored and processed there, and no part of that work is sent to us. You are responsible for keeping your device and any backups secure.
The App does need an account and a licence, and it checks that licence with our server when you are online (see clauses 11 and 14). That check concerns your subscription only, never your teaching data.
4. Teacher Responsibilities
You are responsible for the accuracy and lawful use of the information you enter, for obtaining any consent your school or jurisdiction requires before recording information about students, and for reviewing every generated comment before sharing it.
5. AI-Generated Comments
Comments and answers are produced by an automated language model and may contain mistakes, omissions, or misinterpretations. They are drafting aids only and are not a substitute for your professional judgement. Always check a comment before it is sent to a parent or placed in an official record.
6. Optional Connected AI
If you choose to connect an online AI provider, your use of that provider is also governed by that provider's own terms, and data you send to it leaves your device. Connecting an online provider is entirely optional and off by default.
7. Intellectual Property
The App, its design, and its name remain the property of their respective owners. The notes, comments, and other content you create belong to you.
8. Disclaimer of Warranties
The App is provided "as is", without warranties of any kind, express or implied, including fitness for a particular purpose. We do not warrant that the App will be error-free or uninterrupted.
9. Limitation of Liability
To the maximum extent permitted by law, we are not liable for any indirect, incidental, or consequential loss, or for any loss of data, arising from your use of the App. You are responsible for maintaining your own backups.
To the maximum extent permitted by law, our total liability to you for all claims arising out of or relating to the App, this website, or these Terms is limited to the amount you paid us in the twelve months before the event giving rise to the claim.
Some liability cannot be limited, and we do not try to. Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that the law of your country does not allow to be limited or excluded. If you are a consumer, your non-excludable statutory rights, including those referred to in clause 13, are unaffected by this clause.
10. Changes to These Terms
We may update these Terms from time to time. Continued use of the App after an update means you accept the revised Terms.
Your account & the website
11. Account, purchase & licence delivery
To download and license Cai Comments, you create an account on this website and confirm your email address. Card payments and free trials are granted immediately, so your download and licence are ready as soon as the payment or trial starts. School licences are invoiced, and the licence is issued when the invoice is settled. Your licence is for your own use on the number of devices permitted by your account, and you can release and move a device seat from your account at any time. You agree to provide accurate account information and to keep your sign-in credentials secure.
12. Subscription, renewal & cancellation
Cai Comments is licensed as a subscription: you are buying the right to use the app for the term you choose, not ownership of the software. Terms are monthly or yearly for individual teachers, and one year for school licences. We tell you the price and the term before you order, and every licence renews automatically for the same term unless you cancel. You can cancel at any time from your account, in a couple of clicks. Cancelling stops the next renewal and you keep access until the end of the term you have paid for.
We email you about 48 hours before each renewal is charged, telling you the date and the amount. If a price has changed since you last paid, that email carries the new amount, and we will have told you about the change before then (clause 12b).
12a. The free trial
Individual teachers can start a 14-day free trial. It is the full app, with nothing held back, and nothing is charged during it.
We ask for a card at the start so your licence can carry on without interruption when the trial ends. At the end of the 14 days the trial becomes a paid subscription on the plan you chose, and that card is charged automatically, $10 for a month or $99 for a year, and it then renews at that price, monthly or yearly, until you cancel.
We email you three days before that happens, saying the date, the amount and how to stop it. Your account page shows the same date from the moment the trial starts. Cancel at any point before then, in a couple of clicks from your account, and you are charged nothing at all.
One trial per person and per computer. School and multi-teacher licences do not have a self-serve trial. Talk to us and we will arrange a pilot.
12b. Prices, currency and tax
Prices for individual teachers are $10 per month or $99 per year, in US dollars, and that is the amount you pay, and there is no tax added at checkout. School licences are priced by band and are quoted excluding VAT or sales tax, which is added to the invoice where it applies. School licences are invoiced rather than paid by card at checkout.
We may change our prices, but never for a term you have already paid for. If a price changes, the new price applies from your next renewal and we tell you before it is charged.
Payments are taken by our payment provider, Airwallex, and appear on your statement as AIOLOS SOLUTIONS LIMITED, the registered company behind Cai Comments (clause 15). Your card details go directly to Airwallex and never reach our servers.
13. Refunds
Every payment carries a 14-day money-back guarantee, and you do not have to ask anyone for it. A Refund button appears on your account page for 14 days after each payment; pressing it refunds that payment in full, no questions asked, and ends the licence it paid for. After 14 days the button goes away. Write to us and we will still look at it.
The window runs from the payment, not from signing up or installing. That means a renewal starts a fresh 14 days of its own: if a renewal takes you by surprise, you have the same fortnight to undo it that you had at the start. A free trial charges nothing, so there is nothing to refund until your first payment.
The automatic refund is available once per card. If you have used it and need another, write to us and a person will sort it out.
These are our own commitments and they sit on top of your legal rights, which we do not attempt to limit. In particular, if you are in Australia our services come with guarantees that cannot be excluded under the Australian Consumer Law; consumers in New Zealand, the United Kingdom and the European Union have comparable non-excludable rights.
13a. If a payment does not go through
If a renewal is declined we do not end your licence. We show a notice on your account and in the app, and we try the card again a few times over the following fortnight, spacing the attempts out. If it still has not gone through we stop trying and email you: that email gives you a date, your access continues until it, and adding a working card before then carries everything on exactly as it was. We would rather tell you than cut you off.
14. Internet connection & your data
Your teaching work runs entirely on your own computer and does not need a connection. The app confirms your licence with our server when you happen to be online; if it has had no connection at all for 90 days it will ask you to reconnect so it can check. Whatever the state of your licence (active, lapsed, cancelled or expired), you can always export your notes, records and photos from the app. We will never hold your data hostage to a payment.
15. Who you are contracting with
Cai Comments is a product of Aiolos Solutions Limited, trading as Cai Comments, a company registered in Hong Kong. Where these Terms say "we" or "us", they mean that company, and it is the party you are contracting with.

16. Governing law and where disputes are heard
These Terms and any dispute arising from them are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have jurisdiction to hear them.
This does not take away rights you have at home. If you are a consumer, you keep the protection of any mandatory consumer-law rights of the country you live in, and you may bring a claim in your local courts where the law of that country gives you the right to. Nothing in this clause or in clause 9 limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
